Form 4
Definition 1.
A document required by the SEC and the appropriate stock exchange to announce changes in the holdings of directors, officers, and shareholders owning 10% or more of the company's outstanding stock.

Definition 2.
A report filed by directors, officers, or owners of more than ten percent of public companies with the Securities and Exchange Commission. The report contains information on planned purchases and sales of certain equity securities. The form also contains information on the reporting person''s relationship to the company.

The form required by the SEC for a change in the holdings of an individual owning 10% or more of the outstanding stock or in the holdings of a company officer.
